1. ACCEPTANCE OF TERMS
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Patients We Share, Inc. (“Patients We Share,” “Company,” “we,” “us,” or “our”) governing your access to and use of our website, platform, and related services (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree, you must not use the Services.
2. ELIGIBILITY
You represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into these Terms
- Any information you provide is accurate and complete
If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity.
3. NATURE OF SERVICES
Patients We Share provides a technology platform designed to facilitate communication and coordination among users.
The Company:
- Is not a healthcare provider
- Does not provide medical advice, diagnosis, or treatment
- Does not verify the accuracy of user-submitted information
Use of the Services does not create a provider-patient relationship with the Company.
4. USER ACCOUNTS
4.1 Account Registration
Users may be required to create an account to access certain features.
4.2 Account Responsibility
You agree to:
- Maintain the confidentiality of your login credentials
- Be responsible for all activities under your account
- Notify the Company of any unauthorized use
5. USER CONDUCT
You agree not to:
- Use the Services for any unlawful or unauthorized purpose
- Submit false, misleading, or inaccurate information
- Upload or transmit harmful, infringing, or abusive content
- Interfere with the operation or security of the Services
- Attempt to gain unauthorized access to systems or data
6. USER CONTENT
6.1 Ownership
Users retain ownership of any content they submit (“User Content”).
6.2 License to Company
By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to use, host, store, and process such content solely to provide and improve the Services.
6.3 Responsibility
You are solely responsible for:
- The content you submit
- Ensuring you have all necessary rights and permissions
- Compliance with applicable laws
The Company assumes no responsibility for User Content.
7. THIRD-PARTY INTERACTIONS
The Services may facilitate interactions between Users or with third parties.
- Does not control or endorse Users
- Is not responsible for the conduct of any User or third party
- Disclaims liability for any interactions, transactions, or disputes
8. INTELLECTUAL PROPERTY
All rights, title, and interest in and to the Services (excluding User Content), including software, design, trademarks, and content, are owned by or licensed to the Company.
You may not:
- Copy, modify, distribute, or create derivative works
- Reverse engineer or attempt to extract source code
- Use the Company’s intellectual property without authorization
9. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF INFORMATION
THE COMPANY DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
- DEFECTS WILL BE CORRECTED
- THE SERVICES ARE SECURE OR FREE FROM HARMFUL COMPONENTS
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES ARISING FROM USER CONTENT OR USER INTERACTIONS
REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- AMOUNTS PAID BY YOU TO THE COMPANY IN THE PRIOR 12 MONTHS, OR
- ONE HUNDRED U.S. DOLLARS ($100)
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, affiliates, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your User Content
- Your violation of any law or rights of a third party
12. TERMINATION
The Company may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination:
- Your right to use the Services will immediately cease
- Certain provisions of these Terms will survive
13. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
14. DISPUTE RESOLUTION
Any disputes arising out of or relating to these Terms or the Services shall be resolved through:
- Good faith negotiations, followed by
- Binding arbitration in [Insert County, Texas], unless otherwise required by law
Users waive any right to participate in class actions or jury trials to the extent permitted by law.
15. MODIFICATIONS TO TERMS
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted with a revised “Last Updated” date.
Continued use of the Services constitutes acceptance of the modified Terms.
16. MISCELLANEOUS
- These Terms constitute the entire agreement between you and the Company
- If any provision is found unenforceable, the remaining provisions remain in effect
- Failure to enforce any right is not a waiver of that right
